Kaufland - Tesco: four decisions
  • The Office for Competition and Consumer Protection (UOKiK) issued four approvals for the acquisition of four Tesco stores by Kaufland Polska Markety.
  • The transactions concern four locations in Lublin, Ostrołęka, Wrocław and Warsaw.
  • The Office conducted market inquiries in those cases.

Proceedings conducted by the Office concerned the acquisition by Kaufland Polska Markety of a part of the assets of the following companies: Snowfinch, Zodiac, BTN and Tesco. As a result of the concentration, Kaufland acquired the rights to four commercial spaces currently being used by Tesco Polska. There are stores in Lublin  (ul. Orkana 4), Ostrołęka (ul. gen. Augusta Emila Fieldorfa “Nila” 28), Wrocław (ul. Długa 37/47) and Warsaw (ul. gen. Augusta Emila Fieldorfa “Nila” 41).

The concentration had an impact on several local HSD (hipermarkets, supermarkets and discount stores) markets. The President of the Office for Competition and Consumer Protection referred the case to the 2nd phase and conducted a market inquiry.

The conducted anti-trust procedure showed, among other things, that undertakings involved in the concentration scheme are faced with strong competition from other large commercial chains, such as: Biedronka, Leclerc, Piotr i Paweł, Stokrotka, Carrefour, Auchan. That is why the President of the Office for Competition and Consumer Protection decided that the transaction does not constitute a significant restriction of competition and issued its approval for the concentration.

Additional information

Pursuant to the Act on Competition and Consumer Protection, proceedings pertaining to concentration consist of two stages. The first stage takes up to one month. However, in particularly complex cases where there is a probability of a significant restriction of competition or where a market inquiry needs to be carried out, such proceedings may take longer.
